Definitions
- Agreement: Any contract, proposal, statement of work, or related documentation agreed upon by the parties.
- Client Content: All materials supplied by the client, including text, images, data, or other assets.
- Deliverables: All work products and services to be provided under the Agreement.
- Final Deliverables: The completed and approved deliverables provided to the client.
- Project: The scope of work defined in the Agreement.
- Services: All development, consulting, and related services provided by ReactNativeTeam.com.
- Third-Party Materials: Assets or services obtained from external providers, such as stock media, libraries, or tools.
Services
ReactNativeTeam.com shall provide development and related services as described in the agreed proposal, including delivery according to defined milestones.
Proposals and Scope
All proposals are valid for 30 calendar days from the date of issue. If a proposal is not accepted within this period, we reserve the right to revise and resubmit it.
Fees and Expenses
- Fees: All fees are payable as outlined in the Agreement and project milestones.
- Additional Costs: Third-party costs (e.g., hosting, licenses, paid tools) are billed separately unless stated otherwise.
- Expenses: Approved expenses will be invoiced at cost.
Payment Terms
- Invoices are payable within five (5) business days of receipt.
- Payment schedules are defined in the Agreement.
- Late payments may result in suspension of services.
Changes to Scope
- Change Requests: Any changes must be submitted in writing. We will assess the request and respond within five (5) business days with updated costs and timelines.
- Minor Changes: Changes deemed minor or under 20% of the project value may be billed at standard hourly rates.
- Major Changes: Changes exceeding 20% of the project value require a revised or additional proposal before work continues.
Delays
- Client Delays: Delays caused by the client may result in corresponding extensions to project timelines.
- Our Delays: Any delays caused by us will be communicated promptly.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including natural disasters, government actions, or other unforeseeable circumstances.
Review and Acceptance
- Deliverables are tested internally prior to submission.
- The client has seven (7) business days to accept or reject deliverables in writing.
- If revisions are required, we will address them within fourteen (14) business days, followed by a final review period.
Client Responsibilities
The client agrees to:
- Provide accurate, complete, and legally compliant content
- Ensure all materials are proofread and approved
- Respond to requests and approvals in a timely manner
Attribution and Promotion
Unless otherwise agreed:
- We may include a credit link on delivered projects.
- We may showcase completed work in portfolios and marketing materials.
- Neither party shall unreasonably withhold consent to reference the project publicly.
Confidentiality
Both parties agree to treat confidential information with due care and not to disclose it to third parties without prior consent, unless required by law. Information already in the public domain is not considered confidential.
Relationship of the Parties
- ReactNativeTeam.com operates as an independent contractor.
- No partnership, joint venture, or employment relationship is created.
- We may engage subcontractors while remaining responsible for deliverables.
Liability
All services are provided on an “as is” basis. Our total liability is limited to the amount paid by the client for the specific services giving rise to the claim.
Rights and Licensing
Upon full payment, the client is granted a non-exclusive, perpetual, worldwide license to use the final deliverables as agreed. Modification or reuse beyond the agreed scope requires prior written consent.
Support and Maintenance
Post-delivery support, maintenance, or updates are provided upon request and billed at standard hourly rates. Any warranty is void if third parties modify the deliverables.
Changes to These Terms
We reserve the right to update these Terms and Conditions at any time. Continued use of the website or services constitutes acceptance of the revised terms.
