Terms and Conditions

These Terms and Conditions define the rules governing the use of DedicatedOffshoreDevelopers.com and the services provided by the Company.

Definitions

  • Agreement – The proposal, these Terms and Conditions, and any supporting documentation accepted by both parties.
  • Client Content – Any materials supplied by the Client for use in the Project, including text, graphics, branding elements, or other resources.
  • Deliverables – The work outputs or services described in the Agreement.
  • Company Tools – Proprietary frameworks, development tools, libraries, code components, and technical methodologies created or owned by the Company.
  • Final Deliverables – The completed work provided to the Client once project requirements have been fulfilled.
  • Project – The development or consulting work defined in the Agreement.
  • Services – Technical services, development work, or consulting activities described in the proposal.
  • Third-Party Resources – Materials obtained from external providers such as licensed software, stock images, plugins, or other assets.

Development Services

The Company agrees to perform the Services according to the scope, timeline, and milestones outlined in the accepted proposal.

Proposal Validity

Project proposals remain valid for a period of thirty (30) days from the date they are issued. After that period, the Company may revise pricing or scope before proceeding.

Fees and Additional Costs

  • Service Fees. The Client agrees to pay all development fees specified in the project agreement.
  • External Costs. Expenses related to third-party services, including hosting, paid tools, or software licenses, are not included unless explicitly stated.
  • Reimbursable Expenses. Any approved project-related expenses will be invoiced at cost.

Payment Terms

Invoices must be paid within five (5) days from the date they are issued unless otherwise agreed. Payments should follow the milestone schedule defined in the Agreement.

Changes to Project Scope

  • Change Requests. If the Client requests modifications to the agreed scope, such changes must be communicated in writing. The Company will review the request and inform the Client about possible adjustments to cost or timeline.
  • Minor Changes. Adjustments representing less than 20% of the project value may be billed at standard hourly rates.
  • MajorChanges. If requested changes significantly expand the scope of work, the Company may provide a revised proposal before proceeding.

Project Delays

  • Client-Related Delays. Failure to provide required materials or approvals may lead to corresponding extensions of the project timeline.
  • Company-Related Delays. If delays occur on the Company’s side, the Client will be notified promptly.
  • External Circumstances. Neither party shall be considered responsible for delays caused by events beyond reasonable control, including natural disasters, governmental actions, or similar circumstances.

Review and Acceptance

Deliverables will undergo internal review before submission to the Client. The Client will have seven (7) working days to review and approve the deliverables or provide written feedback.

Client Responsibilities

The Client agrees to:

  • Provide necessary project materials and information
  • Ensure that provided content does not violate intellectual property rights
  • Review and respond to submitted work within reasonable timeframes

Additional costs may arise if corrections are required due to issues in Client-provided materials.

Portfolio and Attribution

Unless otherwise agreed, the Company may reference completed projects in portfolios, case studies, or marketing materials.

Confidential Information

Both parties agree to treat confidential information exchanged during the Project responsibly and not disclose it to unauthorized third parties unless legally required.

Relationship of the Parties

The Company provides services as an independent contractor. Nothing in this Agreement establishes a partnership, employment relationship, or joint venture.

The Company may engage subcontractors where necessary while remaining responsible for project delivery.

Limitation of Liability

The Company’s total liability related to any Project shall not exceed the total amount paid by the Client for the relevant services. The Company shall not be responsible for indirect or consequential losses.

License to Deliverables

Once full payment has been received, the Client receives the right to use the Final Deliverables for their intended business purposes. Ownership of Company Tools and internal frameworks remains with the Company.

Support and Maintenance

Additional support or maintenance services may be provided separately and may be billed according to the Company’s standard rates unless otherwise agreed.

Updates to Terms

These Terms and Conditions may be updated periodically. The version in effect at the time a proposal is accepted will apply to that particular Project.
